Welcome to Chamoy. These Terms of Service ("Terms") govern your access to and use of Chamoy's video menu creation service, website, and related services (collectively, the "Service") operated by Chamoy ("we," "our," or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Chamoy provides a platform that enables restaurants and food service businesses to create, manage, and share digital video menus. Our Service allows you to:
- Upload and organize videos, images, and menu content
- Create interactive video menus
- Generate QR codes and shareable links for customer access
- Manage menu items, descriptions, and pricing
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent and warrant that you meet these requirements.
3.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable Use
4.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only to create and display menus for legitimate food service businesses.
4.2 Prohibited Conduct
You agree not to:
- Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Infringe upon the intellectual property rights of others
- Upload content containing viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Use the Service to transmit spam or unsolicited messages
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems (bots, scrapers) to access the Service without our permission
- Upload content depicting violence, illegal activities, or adult content unrelated to food service
5. Content Ownership and Licenses
5.1 Your Content
You retain all rights to the content you upload to the Service, including videos, images, text, and menu information ("Your Content"). You represent and warrant that you own or have the necessary rights to upload and share Your Content.
5.2 License to Us
By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, publish, and display Your Content solely for the purpose of providing and improving the Service.
5.3 Public Display
You acknowledge that video menus created using the Service are intended to be publicly accessible via QR codes and shareable links. You are responsible for ensuring that Your Content is appropriate for public display.
5.4 Our Content
The Service, including its design, features, text, graphics, logos, and software, is owned by Chamoy and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our content without our express written permission.
6. Payment and Subscription
6.1 Fees
Access to certain features of the Service may require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as required by law or as explicitly stated in these Terms.
6.2 Billing
You agree to provide current, complete, and accurate billing information. You authorize us to charge your selected payment method for all fees incurred.
6.3 Subscription Renewals
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for the subscription plan.
6.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period, and you will retain access until that time.
6.5 Price Changes
We reserve the right to change our pricing. We will provide you with reasonable notice of any price changes, and changes will apply to subsequent billing periods.
7. Term and Termination
7.1 Term
These Terms remain in effect while you use the Service.
7.2 Termination by You
You may terminate your account at any time by contacting us at samad@chamoylabs.com.
7.3 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. We may also terminate inactive accounts.
7.4 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete Your Content from our servers, though some data may persist in backups for a limited time.
8. Disclaimers and Limitations of Liability
8.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Availability
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without liability.
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your transmissions or content
- Any conduct or content of third parties on the Service
- Any content obtained from the Service
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless Chamoy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your Content
10. Third-Party Services
The Service may contain links to third-party websites or services that are not owned or controlled by Chamoy. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
If you have a dispute with us, you agree to first contact us at samad@chamoylabs.com and attempt to resolve the dispute informally.
11.2 Arbitration Agreement
Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in the United States. You and Chamoy agree to waive the right to a trial by jury.
11.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Chamoy individually. You waive the right to participate in a class action, class arbitration, or other representative action.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chamoy regarding the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
